Welcome to CareFlow. These Terms of Service ("Terms") govern your use of our healthcare management platform and services. By accessing or using CareFlow, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using CareFlow's services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.
2. Description of Service
CareFlow provides a cloud-based healthcare management platform that includes:
- Patient management and electronic health records (EHR)
- Staff scheduling and rota management
- Financial management and billing
- Reporting and analytics tools
- Compliance and documentation features
- Related healthcare administrative services
3. Account Registration and Eligibility
To use CareFlow, you must:
- Be at least 18 years of age
- Be a licensed healthcare provider or authorized staff member
- Provide accurate, current, and complete information during registration
- Maintain and update your account information
- Keep your login credentials confidential and secure
- Notify us immediately of any unauthorized access to your account
You are responsible for all activities that occur under your account.
4. Acceptable Use Policy
When using CareFlow, you agree to:
- Comply with all applicable laws, regulations, and professional standards
- Use the service only for lawful healthcare management purposes
- Maintain the confidentiality and security of patient information
- Not share your account credentials with unauthorized individuals
- Not attempt to gain unauthorized access to our systems
- Not interfere with or disrupt the service or servers
- Not use the service to transmit malicious code or harmful content
- Not violate any intellectual property rights
5. HIPAA Compliance and Data Security
CareFlow is designed to comply with the Health Insurance Portability and Accountability Act (HIPAA). We have executed Business Associate Agreements (BAAs) as required. You agree to:
- Use CareFlow in compliance with HIPAA regulations
- Implement appropriate safeguards for Protected Health Information (PHI)
- Train your staff on proper use of the platform
- Report any security incidents or breaches immediately
- Maintain audit logs as required by HIPAA
6. Payment Terms
If you subscribe to a paid plan:
- Fees are charged in advance on a monthly or annual basis
- All fees are non-refundable unless otherwise specified
- You authorize us to charge your payment method automatically
- You must keep your payment information current
- We reserve the right to change pricing with 30 days notice
- Failure to pay may result in service suspension or termination
7. Intellectual Property Rights
CareFlow and all related content, features, and functionality are owned by us and protected by copyright, trademark, and other intellectual property laws. You may not:
- Copy, modify, or distribute our software or content
- Reverse engineer or attempt to extract our source code
- Remove any proprietary notices or labels
- Use our trademarks without written permission
You retain all rights to your data and content uploaded to CareFlow.
8. Data Ownership and Portability
You own all data you input into CareFlow. We provide:
- Tools to export your data at any time
- Assistance with data migration upon request
- 90-day data retention after account closure
- Secure data deletion upon your request after retention period
9. Service Availability and Support
We strive to maintain 99.9% uptime but cannot guarantee uninterrupted service. We provide:
- Email and phone support during business hours
- Priority support for higher-tier plans
- Scheduled maintenance notifications
- Emergency support for critical issues
We are not liable for service interruptions beyond our reasonable control.
10. Limitation of Liability
To the maximum extent permitted by law:
- CareFlow is provided "as is" without warranties of any kind
- We are not liable for indirect, incidental, or consequential damages
- Our total liability is limited to fees paid in the past 12 months
- We are not responsible for third-party services or integrations
- You are responsible for maintaining backups of your data
11. Professional Responsibility
CareFlow is a management tool and does not replace professional judgment. You acknowledge that:
- You are solely responsible for clinical decisions
- CareFlow does not provide medical advice
- You must verify all information before making care decisions
- System alerts and reminders are aids, not substitutes for judgment
12. Termination
Either party may terminate this agreement:
- You may cancel your subscription at any time
- We may suspend or terminate accounts for Terms violations
- We may discontinue the service with 90 days notice
- Upon termination, your access will cease but data retention applies
13. Modifications to Terms
We may modify these Terms at any time. We will provide notice of material changes:
- By email to your registered address
- By posting notice on our website
- Through in-app notifications
Continued use after changes constitutes acceptance of the modified Terms.
14. Indemnification
You agree to indemnify and hold harmless CareFlow from claims arising from:
- Your use of the service
- Your violation of these Terms
- Your violation of any laws or regulations
- Your violation of third-party rights
15. Dispute Resolution
Any disputes will be resolved through:
- Good faith negotiations between parties
- Binding arbitration if negotiation fails
- Arbitration conducted under AAA rules
- Individual basis only (no class actions)
16. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. You consent to the exclusive jurisdiction of courts in San Francisco County, California.
17. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements you have with us, constitute the entire agreement between you and CareFlow.
